SPECIAL CALLED MEETING OF THE BOARD OF TRUSTEES
MARLIN INDEPENDENT SCHOOL DISTRICT
Administration Building -6:00 p.m.

December 05, 2005

CALL TO ORDER
1. The meeting was called to order by President, Lowanda Washington, at 6:04 p.m.
2. Roll call: Mr. Roger Nutt, Mr. Terry Douglas, Mr. David Lawson, Ms. Sonja Washington, and Ms. Lowanda Washington. Absent: Mr. Danny Vickers and Mr. Gary Gray.

Closed Session - At 6:05 p.m. President Washington announced the Board will go into Closed Session under
Section 551.071.

a. Discussion of pending litigation (Texas Gov't Code Section 551.0712)
b. Personnel matters (Texas Gov't Code Section 551.074)
c. Consultation with attorney (Texas Gov't Code Section 551.074)

The Board came out of Closed Session and reconvened to Open Session at 8:15 p.m.

Discussion of Pending Litigation - Motion made by Mr. David Lawson, seconded by Mr. Roger Nutt to authorize settlement with HVAC Engineers for the amount recommended by counsel and also that we authorize sending a demand letter as recommended by the attorney in closed session to the architect.
Motion passed unanimously.

Personnel Matters - No action taken.

Adjourned - President Washington adjourned the meeting at 8:17 p.m.
